By-Laws

Article I: Name and Objectives
Section 1
The name of this club shall be the Agility League of Hawaii Inc.
Section 2
The objectives of the club shall be:
- To encourage the responsible care and training of all canines (
purebred and mixed breed) in the sport of dog agility.
- To promote sportsmanlike competition.
- To conduct sanctioned agility trials under the auspices of the North
American Dog Agility Council.
- To educate the public to the sport of dog agility, subscribing to
the principles set forth by the North American Dog Agility
Council.
- To promote the welfare of canines.
Article II: Membership
Section 1
Persons who are interested in the objectives of this club, and willing to
abide by it's by-laws and rules, will be eligible for membership.
Section 2
All persons applying for membership will be required to participate in a
minimum of two club activities and have their applications signed by two
club members (who are in good standing ) before their application can be
presented for vote. Acceptance of membership requires an affirmative
vote of three-fourths of the membership in attendance at the next general
membership meeting. Applicants for membership who have been denied by
the Club may not re-apply within six months after such denial.
Section 3
There will be three types of memberships:
- Regular membership: open to individuals who agree to subscribe
to the objectives of the club.
- Family membership: open to two individuals who agree to
subscribe to the objectives of the club and who reside in the same
household.
- Honorary membership: may be bestowed up individuals for
outstanding service to the Club or to the sport of dog agility.
These members shall be recommended by the Board of Directors and voted
upon by secret ballot of the general membership with a three-fourths
affirmative vote required for passage. Honorary members shall not
have any voting or office-holding privileges.
Section 4
Dues
- Membership dues shall be payable on or before the first day of January
or each year.
- The Board may increase dues by not more than five dollars over the
previous year. Any increase shall be voted upon by the Board with
the majority of those present prevailing. Increases of dues of
over five dollars must be presented to the general membership and voted
upon with majority of those present prevailing.
- Honorary members are exempt from the payment of dues.
Section 5
Termination of Membership
- Resignation: Any member in good standing may resign from the
club upon written notice to the Secretary.
- Lapsing: Membership will be considered as lapsed and
automatically terminated if that member's dues remain unpaid ninety days
after the first day of the fiscal year.
- Expulsion: Membership may be terminated by expulsion ( see Article
V--Discipline)
Article III: Meetings and Voting
Section 1
General membership meetings:
- Shall be held quarterly with the Board of Directors responsible for
the time, place, and date of the meeting and shall be conducted
according to Robert's Rules of Order.
- The Secretary will distribute a meeting notice at least one week prior
to the meeting.
- A quorum to conduct business for such meetings shall be twenty percent
of all voting members in good standing.
- Special general membership meetings may be called by the Board or at
the behest of at least five members in good standing.
Section 2
Board meetings:
- Shall be held bi-yearly at the designation of the
President.
- Members and prospective members are welcome to attend and provide
input but shall not vote.
- A quorum to conduct business shall be the majority of the Board.
- Special board meetings may be called by the President or at the behest
of at least three members of the Board.
Section 3
Voting
- The President or his representative, who presides over the meetings,
shall not be eligible to vote except in the case of a tiebreaker.
- All members in good standing are eligible to vote at Board meetings.
- Proxy voting will not be permitted at any Club meeting or
election. Special pre-arranged exceptions for neighbor island club
members will be allowed at the discretion of the Board.
Article IV: Officers and
Directors
Section 1
Officers
- The elected officers of the club shall be: President,
Vice-President, Secretary, Treasurer, and two Directors.
- The President shall preside at all meetings of the Club, appoint
committees as needed, and perform such duties as pertain to this
office. The President shall be an ex-officio member of all
committees except the Nominating Committee.
- The Vice-President shall assist the President and perform the duties
of President when the President is absent. The Vice-President is
responsible for social functions an public relations
- The Secretary shall maintain a permanent record of all Club meetings
and shall have custody of all club documents.
- The Treasurer shall be responsible for maintaining a record of the
fiscal affairs of the club. The Club account books shall be open
to inspection by the Board and a written report on the Club's finances
shall be presented at each meeting.
- Any vacancies occurring during the year shall be filled at the next
general membership meeting with the exception of the office of President
which will be automatically filled by the Vice- President.
Section 2
Board of Directors
- The Board of Directors shall be comprised of the President,
Vice-President, Secretary, Treasurer, and two Board members.
- General management of the Club's affairs shall be entrusted to the
Board.
- Expenditures of the club must be approved by the Board. Club
monies shall be deposited into a bank account in the Club's name.
Bank signature cards will have three signatures: the President,
Vice-President and Treasurer. Two signatures are required for
withdrawals.
- The Club's calendar year (both fiscal and for elected officers) shall
run from January First through December Thirty-first. Upon
election of office, all outgoing officers shall turn over to the
incoming officers all club records, property, and monies in their
possession not later than January Fifteenth.
- The Board shall appoint a nominating committee (consisting of both
general members and board members) by the month of October.
Candidates must be members in good standing and have been a member for
sixty days prior to the election. No person may be a candidate in
a Club election who has not been nominated and who has not formally
accepted nomination.
Article V: Discipline
Section 1
Any member may be reprimanded or suspended from the Club for conduct
which is a discredit to the Club or disruptive in nature relating to club
activities, functions, or towards individual members. Control of dog
aggressive behavior is an expectation--any member who fails to control
his/her dog is subject to disciplinary action which may include mandatory
confinement, muzzles, and even exclusion of the dog from Club
activities. Charges will be reviewed by the Board and a fair hearing
shall be conducted. Suspension periods of members will be no more than
ninety days. .
Section 2
Any member may be expelled from the Club for conduct which is a
discredit to the Club or disruptive in nature relating to club activities,
functions, or towards individual members. Members may be expelled for
behavior which is hazardous to persons or dogs. A statement of charges
must be submitted in writing to the Board. The member shall be given
an opportunity to be heard first by the Board and then by the general
membership. Expulsion requires a three quarter vote of those members
present and can only occur in the setting of a general membership
meeting.
Section 3
Any person who has been expelled from the Club may appeal the decision
within thirty days of the vote. Appeals must be made in writing to the
Board and, at the discretion of the Board can be brought to the membership
at a general membership meeting where a three quarter vote will be required
to overturn the expulsion.
Section 4
In recognition that their service is voluntary, in all matters n which a
disciplinary action is taken, the Club and its officers, singularly and
collectively, shall be protected from adverse litigation by the
membership.
Article VI: Amendments to
the By-laws
Section 1
Amendments to the By-laws may be proposed by the Board of Directors by
written petition signed by at least twenty-five percent of the general membership.
Section 2
Notice of the proposed By-law amendments must be given to the general
membership at least two weeks prior to the vote.
Section 3
The By-laws may be amended by a two-third vote of the members present at
a general membership meeting.
Article VII: Dissolution
Section 1
The Club may be dissolved at ay time by the written consent of not less
than two-thirds of the members.
Section 2
Upon dissolution, all remaining assets of the Club after payment, or
provision for payment, of all debts and liabilities of the Club, shall be
distributed to a charitable organization for the benefit of dogs selected by
the Board of Directors.
